Glasstech, Inc. ("Glasstech") will license its AutoGlassInspector Software and related User’s Manual (collectively, "Software") to you ("Licensee") for no charge upon the condition that you accept all of the Terms and Conditions of this License Agreement. Please read the Terms and Conditions of this Agreement before you press the "Accept" button at the bottom of this page. If you do not agree to the Terms and Conditions of this page please press the "Do Not Accept" button at the bottom of this page and the installation process will not proceed. Terms and Conditions 1. Licensed Use. Upon acceptance of this Agreement, Glasstech grants Licensee a nonexclusive, nontransferable license to use the Software, in a limited form and for a limited time, solely for the purpose of evaluating the Software. Licensee may install the Software on a single computer for this evaluative use. 2. Use Restrictions. Licensee agrees not to copy, modify, change, disassemble, decompile or otherwise reverse engineer the Software. 3. Ownership. Glasstech has, and shall retain, sole and exclusive ownership of all right, title and interest in and to the Software (including ownership of all copyrights and trade secrets pertaining thereto), subject only to the rights and privileges expressly granted by Glasstech. 4. Confidential Information. Licensee agrees (1) to keep the Software (including the User’s Manual) confidential and not disclose, give, transmit or otherwise convey the Software, in whole or in part, to any other party and (2) to use the Software solely for the evaluative purpose licensed under this Agreement. The provisions of this Section shall survive termination or expiration of this Agreement. 5. Disclaimer of Warranty. The Software is provided without warranty in its current "AS IS" condition only for purposes of evaluating the Software. GLASSTECH MAKES NO WARRANTY OF ANY KIND WHATSOEVER, WHETHER EXPRESSED OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 6. Limitation of Liability. IN NO EVENT SHALL GLASSTECH BE LIABLE UNDER ANY THEORY OF LIABILITY (INCLUDING NEGLIGENCE), OR OTHERWISE, FOR ANY DAMAGES, NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. 7. Governing Law, Jurisdiction. This Agreement shall be governed by, construed, and interpreted in accordance with the laws of the State of Ohio, without application of conflict of laws provisions. Glasstech and Licensee each hereby (1) irrevocably submits to the jurisdiction of the state or federal courts located in Toledo, Ohio, U.S.A., (2) agrees that any action, suit or proceeding arising under this Agreement or relating to the Software shall be brought only in such courts, and (3) waives any objections based on forum non conveniens or any other objection to venue therein. 8. Termination. Upon the earlier of Glasstech's request or the completion of the evaluation period, Licensee shall promptly return or destroy, and discontinue all further use, of the Sofware. Upon Glasstech's request, Licensee shall promptly certify that such action has been taken.
